These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "Client") and TradesCrafter, a product and services brand of 0SPX AutoTrades, LLC ("TradesCrafter," "we," "us," or "our"). By accessing or using our website, software, virtual appliances, hosted services, APIs, or any other services we provide (collectively, the "Services"), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
1.1. Account registration: To use certain features of the Services you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
1.2. License binding: Certain software licenses or features may be bound to a specific brokerage account or other third-party account identifiers. Once a license is bound to an account, re-binding or transfer may be restricted as described in our licensing documentation.
1.3. Account security: You agree to notify us immediately of any unauthorized use of your account or other security breaches. We are not liable for any losses arising from someone accessing your account through your credentials.
2.1. Scope: We provide algorithmic trading software, pre-configured virtual environments, hosted services, analytics, and related customer support. Features, availability, and support levels may vary by subscription tier.
2.2. Access: Access to some Services may be limited, time-bound, or subject to verification steps. We reserve the right to modify, suspend, or discontinue features or the entire Service (in whole or part) at any time with or without notice.
2.3. Usage limits: Plans may include limits on compute, API calls, license usage, or provisioned environments. Exceeding those limits may incur additional fees or temporary suspension.
3.1. Fees: You agree to pay all applicable fees for the Services you purchase. Pricing details are available on our website and in your order confirmation.
3.2. Billing: By providing payment information, you authorize us (or our payment processors) to charge recurring fees until you cancel per the cancellation policy.
3.3. Refunds: Refunds are provided only as described in our Refund Policy. Unless explicitly stated in the Refund Policy or other written agreement, fees are non-refundable. Promotional credits and trial offers are subject to separate terms.
3.4. Taxes: You are responsible for any taxes associated with your purchase, excluding taxes on our net income.
4.1. License grant: Subject to your compliance with these Terms and payment of applicable fees, TradesCrafter grants you a non-exclusive, non-transferable, limited license to use the software and Services for your own internal trading and evaluation purposes.
4.2. Ownership: All rights, title, and interest in and to the Services, including all software, documentation, trademarks, trade secrets, and other intellectual property, remain with TradesCrafter or its licensors.

5.1. Compliance: You are solely responsible for ensuring your use of the Services complies with all applicable laws, exchange rules, and broker policies.
5.2. Risk: Trading and algorithmic strategies involve substantial risk. TradesCrafter does not guarantee profitability or performance. You accept full responsibility for any trading losses resulting from use of the Services.
5.3. Prohibited uses: You must not use the Services to commit fraud, manipulate markets, or otherwise engage in illegal activity. We may suspend or terminate accounts suspected of such behavior.
5.4. Operational Access: You acknowledge that TradesCrafter may access certain account metrics (e.g., balance snapshots, trade logs, and license synchronization data) solely for license verification and platform maintenance. This access is non-trading, read-only, and does not constitute discretionary management or financial control.
6.1. Data handling: We collect and process data as described in our Privacy Policy. You are responsible for the security of any data you upload or provide.
6.2. Backups and availability: While we use reasonable measures to protect and back up your data, we do not guarantee uninterrupted availability. It is your responsibility to maintain separate backups of any critical data.
6.3. Incident response: We will make reasonable efforts to notify affected users in the event of a security incident in accordance with applicable laws.
7.1. No warranty: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TRADESCRAFTER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7.2. No financial advice: Content provided by the Services is for informational and operational purposes only and does not constitute financial, investment, tax, or legal advice.
8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRADESCRAFTER, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
8.2. CAP ON LIABILITY: EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, TRADESCRAFTER'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TRADESCRAFTER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless TradesCrafter and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Services.
10.1. Termination by you: You may cancel your subscription at any time per the cancellation procedures in your account settings.
10.2. Termination by TradesCrafter: We may suspend or terminate your access for breach of these Terms, non-payment, suspected fraud, or abuse, or for other lawful reasons.
10.3. Effect of termination: Upon termination, licenses granted to you will cease. We may delete or archive your account data in accordance with our Data Retention policy and applicable law.
11.1. Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
11.2. Dispute resolution: Any dispute arising out of or related to these Terms shall be resolved first through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Orlando, Florida, unless otherwise required by law.
We may modify these Terms from time to time. If material changes are made, we will provide notice via email or within the Services. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
13.1. Entire agreement: These Terms, together with our Privacy Policy, Refund Policy, and any order forms or attachments, constitute the entire agreement between you and TradesCrafter.
13.2. Severability: If any provision is found invalid, the remaining provisions shall remain in effect.
13.3. Assignment: You may not assign these Terms without our prior written consent; we may freely assign or transfer our rights and obligations.
TradesCrafter is a brand operated by 0SPX AutoTrades, LLC, an independent technology provider.
0SPX AutoTrades and TradesCrafter are separate entities that collaborate for software licensing and service fulfillment purposes.
Corporate Relationship:
Each entity functions independently and maintains separate operational, financial, and legal responsibilities.
